Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Verbatm (“Verbatm,” “we,” “us”) governing your access to and use of the Verbatm service (the “Service”), a voice-first AI assistant for your CRM and connected business systems. By creating an account, accepting these Terms, or using the Service, you agree to them and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for the activity under your account and for keeping your credentials secure. Provide accurate information and keep it current. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. Workspaces & roles

The Service is organized into workspaces with roles (owner, admin, member). Workspace owners and admins control membership, connectors, and settings, and are responsible for how members within their workspace use the Service and the data they access through it.

3. Acceptable use

Don't use Verbatm to violate laws, infringe others' rights, or take actions against systems you don't own or aren't authorized to use. Don't attempt to reverse-engineer the Service, circumvent its safety controls or rate limits, disrupt its infrastructure, or resell it without our permission. We may suspend or terminate access for violations.

4. Connector authorization

When you connect a third-party system (for example Salesforce, HubSpot, QuickBooks, Gmail, Outlook, Slack, or Google Calendar), you authorize Verbatm to access that system on your behalf to fulfil your commands. You represent and warrant that you have the right to connect each system and to permit Verbatm to read and write the data you direct it to. Your use of each connected system remains subject to that provider's own terms.

5. AI features & your responsibility

Verbatm uses automated speech recognition and large language models to interpret your commands and propose actions. AI can make mistakes — it may mis-transcribe speech, misunderstand intent, or propose an incorrect change. To protect you, Verbatm requires confirmation before every write: proposed changes are shown as a field-by-field preview and are executed only after you approve them. You are responsible for reviewing each proposed action and for the changes you confirm to your own systems. Do not rely on the Service's output as legal, financial, or professional advice.

6. Subscriptions & billing

Verbatm offers a Free plan and paid plans (Pro and Enterprise). Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Fees are non-refundable except where required by law. We may change pricing with prior notice, effective at your next billing period. You can cancel at any time, effective at the end of the current period; plan limits apply to each tier.

7. Your content

You and your workspace retain ownership of the data you process through Verbatm. You grant us a limited license to process that data solely to provide, secure, and support the Service as described in the Privacy Policy. We do not use your data to train AI models.

8. Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, updates, and outages of third-party providers (such as your CRM, accounting, AI, or speech providers) may cause partial or full unavailability.

9. Disclaimer of warranties

The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Verbatm is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms or to comply with law. On termination we delete your workspace data within 30 days, retaining only what we are legally required to keep.

12. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts located in India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, subject to any mandatory rights you have under local law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will post the new version here with a new version identifier and effective date, and ask you to re-accept before you continue using the Service. Continued use after a change takes effect constitutes acceptance.
